TERMS AND CONDITIONS Eligibility: 1. I hereby represent and warrant that I am the parent or legal guardian of the child named (the “Applicant”) in this casting application (the “Application”), and confirm that the Applicant meets all of the following eligibility requirements for the television program (the “Program”), including without limitation: a. The Applicant will be at least six (6) years of age and no more than twelve (12) years of age on or before June 1, 2023. On behalf of the Applicant, I acknowledge and understand that in connection with the Applicant’s participation in the Program it may be necessary for me to provide a certified copy of the Applicant’s birth certificate showing proof of the Applicant’s age. b. The Applicant is a legal resident of the United States. On behalf of the Applicant, I acknowledge and understand that in connection with the Applicant’s participation in the Program it may be necessary for me to provide a certified copy of the Applicant’s birth certificate, alien registration card or citizenship certificate showing proof of the Applicant’s citizenship or legal residency in the United States. 2. Neither I nor any other parent or legal guardian of the Applicant is: (i) currently employed or an agent or representative of ITV America Inc. (“Producer”) or any of its parents, subsidiaries or affiliates (collectively, “Producer Entities”) or any network or platform which may distribute or exhibit the Program, including its parents, subsidiaries, affiliates, licensees and assigns (collectively, “Network”) and have not been previously employed by Producer, any Producer Entity, or the Network or any parent, subsidiary, or affiliate thereof within the last ten (10) years; (ii) currently employed or previously employed within the last two (2) years by any person or entity supplying services to the Program or otherwise involved in the development, production, distribution, or exploitation of the Program; or (iii) a live-in partner, member of a household, or immediate relative (for example, mother, father, son, daughter, brother or sister) of an employee, director, officer, independent contractor, agent, or representative of Producer, the Network or any of the Network’s or Producer’s respective parents, subsidiaries, or affiliates, or otherwise connected with anyone whose connection with the development, production, or distribution of the Program might otherwise create an appearance of impropriety. 3. If the Applicant is selected to participate in the selection process or the Program, I acknowledge that all parents and/or legal guardians of the Applicant will be required to sign all waivers and release agreements on behalf of the Applicant in connection with participating in the Program. 4. If the Applicant is selected to participate, the Applicant and a parent or legal guardian will be exclusively available to Producer remotely for the participant selection process. 5. If the Applicant is selected to participate in the Program, the Applicant and a parent or legal guardian will need to be exclusively available to participate in the Program for taping of the Program, with a time commitment to be determined, beginning in 2024, and, if necessary, any follow-up time commitments to be at Producer’s sole discretion. 6. Being chosen to interview at any level will not ensure that the Applicant will be selected to continue through the selection process. Producer reserves the right to disqualify or exclude, at their sole discretion, any individual from the interview and selection process at any time. Producer also reserves the right to change the rules and procedures at any time. 7. If any information that I provide in this Application changes after I submit this Application, I agree to promptly inform Producer of any change. If Producer selects the Applicant to appear in the Program and I have given false information in this Application or fail to abide with the terms and conditions provided herein (the “Terms and Conditions”) or any of our reasonable instructions or directions, Producer shall be entitled to terminate the Applicant’s participation in the Program and/or withhold or reclaim any consideration to which the Applicant may be entitled as a result of the Applicant’s participation in the Program. 8. I acknowledge and understand that all parents and/or legal guardians of the Applicant, and Applicant himself or herself, may be subject to a psychological examinations and/or background checks as part of the selection process, and I authorize the same. Submission Release: All of the material, including any trademarks, copyrights, and other intellectual property, contained in the movie idea belonging to the Applicant as provided in this Application (the “Submission”) is the original work of the Applicant and does not violate or infringe the right of any third party and the Applicant fully owns this Submission. By completing this Application on behalf of the Applicant, I am entering into a submission agreement with Producer, in which, if the Applicant’s idea is selected, I grant Producer the right to use the Submission in and in connection with any existing or future program or otherwise, and in and in connection with advertisements, promotions, publicity, and other material relating to any programming or Producer itself. If Producer chooses to accept the Applicant’s Submission, Producer shall thereafter own and have the right to use and exploit the Submission in all media now known or hereafter developed throughout the universe in perpetuity. For the avoidance of doubt, if the Applicant’s Submission is not selected for the Program, any rights in such Submission shall remain with the Applicant. The submission of this Application does not in any way obligate Producer to compensate or credit myself or the Applicant or to exploit the Submission in any way. Any election by Producer, in its sole and absolute discretion, to exploit the Submission may be governed at Producer’s sole discretion by a separate agreement outlining the terms of such exploitation. I, on my own behalf and on behalf of Applicant, acknowledge and agree that many ideas, concepts, stories, plots, characters, scripts, programs and other literary and/or dramatic and/or musical material are submitted or available to each of Producer and Network, and that the Submission submitted in connection with Applicant’s Application may be similar or identical to material previously used, previously submitted by others, already under consideration by Producer and/or Network, or may in the future be used, submitted by others or under consideration by Producer and/or Network, whether in connection with the Program or otherwise. I acknowledge and agree that Producer’s and/or Network’s use of material containing features and elements similar or identical to those contained in the Submission shall not obligate Producer and/or Network to negotiate with me or Applicant or entitle me or Applicant to any compensation or credit if Producer and/or Network determine that Producer and/or Network has an independent legal right to use such other material, either because such features and elements were not new or novel or were not originated by me or because such similar or identical material has or may come to Producer and/or Network from other sources or has been or may be independently created by or on behalf of Producer and/or Network. I agree, on my own behalf and on behalf of Applicant, that submission of the Submission shall not be deemed to place Producer and/or Network in any different position from any other member of the general public with respect to the Submission or any element thereof. Accordingly, any part of the Submission that could be freely used by any member of the general public may be used by Producer and/or Network without obligation or liability to me or to Applicant. I acknowledge and agree that the Submission is not being submitted to or received by Producer and/or Network on a confidential basis and that a confidentiality obligation is not imposed upon Network and/or Producer, nor is a fiduciary relationship formed, by my submitting the Submission to Producer and/or Network. Video Release and Waiver: By completing this Application, I hereby agree to the terms of the following video release and waiver (the “Video Release and Waiver”). I, on my own behalf and on behalf of the Applicant, consent to the Applicant being filmed, recorded, or videotaped (including, without limitation, the video provided with this Application, or any other self-filmed, -recorded or -videotaped materials) in connection with the Applicant’s interest in being potentially considered to participate in the Program. On behalf of the Applicant and myself, I acknowledge and agree that the Applicant hereby consents to the recording (including, without limitation, any self-recording noted above), use and reuse by Producer, including its parents, subsidiaries, affiliates and assigns (collectively, “Producer Entities”), the Network and each of the respective employees, agents, officers and directors (collectively, “Releasees”) of the Applicant’s voice (including, without limitation, the Applicant’s speaking and singing voices and musical compositions created by the Applicant), actions, likeness, name, appearance and biographical material, and any information contained in, derived from, or obtained in connection with the Applicant’s application to be a participant in the Program (collectively, “Likeness”), as edited, altered, or modified by Producer, Network, or Releasees, in any and all media now known or hereafter devised, worldwide in perpetuity, in or in connection with: (i) the Applicant’s consideration for possible participation in the Program, (ii) the Program and associated promotion, marketing, advertisement, and/or other exploitation of the Program (in any form or media) and (iii) Producer and/or Network, including but not limited to institutional promotion and marketing for Producer and/or Network. On behalf of the Applicant and myself, I agree that Releasees may use all or any part of the Applicant’s Likeness and may alter or modify it regardless of whether or not the Applicant is recognizable. On behalf of the Applicant and myself, I specifically agree that Releasees shall have full exclusive ownership of any right, title, and interest in and to any and all recordings and video taken of the Applicant in connection with the Applicant’s application or the Program (the “Material”), and the Applicant shall have no rights whatsoever to the Material. On behalf of the Applicant, I further agree that Releasees shall have the right to use, all or in part, the Material and the Applicant’s Likeness in any and all media now known or hereafter devised worldwide, in perpetuity. On behalf of the Applicant and myself, I grant the rights under this Video Release and Waiver whether or not the Applicant is selected to participate in the Program in any manner whatsoever. On behalf of the Applicant and myself, I hereby irrevocably release Producer, Network, and their Releasees from any and all liability arising out of their use of the Applicant’s Likeness and/or the Material, the Applicant’s participation in the application and participant selection process, and/or any exploitation of the Program on any legal theory whatsoever (including, without limitation, personal injury, rights of privacy and publicity, false light and defamation) (the “Released Claims”). On behalf of the Applicant and myself, I agree not to make any claim against or sue Producer, Network, or their Releasees as a result of the recording or use of the Applicant’s Likeness and/or the Material or any claim based on any of the Released Claims. On behalf of the Applicant and myself, I understand that neither Producers nor Releasees make any representation that such Material will or will not be used in any way. Confidentiality: By submitting this Application on behalf of the Applicant, I agree that, whether or not the Applicant is selected to be a participant in the Program or otherwise proceed in the application process, I shall keep and shall cause the Applicant to keep in strictest confidence and shall not, shall cause the Applicant not to, and shall not authorize or cause others to, directly or indirectly, use or disclose to any third party at any time (i.e., prior to, during, or after the taping or exhibition of any episode of the Program) any of the following, which is the exclusive property of Producer, including its parents, subsidiaries, affiliates and assigns (collectively, “Producer Entities”) or Network: any information or materials that the Applicant or I may read, hear or otherwise acquire or learn in connection with or as a result of the Applicant’s participation in or in connection with the Program or its application process, including without limitation, any information or materials concerning or relating to Producer or to Network, the business of Producer or Network, any program produced by Producer or exhibited by Network, including, without limitation, any information concerning or relating to the Program, the participant selection process, the Program applicants, the Program participants, the location(s) of the Program, the events contained in the Program, the outcome of any episode of the Program, and the contents of this Application or any other agreement or document that I sign, have signed or receive from Producer or Network at any time on behalf of the Applicant (collectively, the “Confidential Information”). On behalf of the Applicant, I acknowledge and agree that my obligations and the Applicant’s obligations with respect to confidentiality set forth herein shall continue in perpetuity or until terminated by Producer and Network by giving me written notice of termination. On behalf of the Applicant, in no event will the Applicant or I have the right to terminate any confidentiality obligations under this Application. On behalf of the Applicant, the Applicant and I acknowledge that in the event the Applicant or I breach the confidentiality provisions of this paragraph, such breach may, in the sole discretion of Producer or Network, result in the Applicant being disqualified to participate as a participant in the Program, and the Applicant and I further acknowledge that any breach by myself and/or the Applicant of any of the confidentiality provisions of this Application would cause Producer and Network irreparable injury and damage that cannot be reasonably or adequately compensated by damages in an action at law, and, therefore, the Applicant and I hereby expressly agree that Producer and Network shall be entitled to injunctive and other equitable relief to prevent and cure any breach or threatened breach of any of the confidentiality provisions of this Application by myself and/or the Applicant, in each case without prejudice to any other legal or equitable rights or remedies that Producer or Network may have as a result of a violation of the terms hereof. In no event shall the Applicant or I be entitled to equitable relief or otherwise to enjoin, restrain or interfere with the proposed development, production, exhibition or other exploitation of the Program. Neither I nor the Applicant will issue or authorize any other party to issue any publicity (including, without limitation, social media posts) relating to Producer, Network, and/or the Program. Parental Consent: I acknowledge and agree that I will not revoke any consents, agreements, and/or authorizations contained in these Terms and Conditions at any time during the minority of the Applicant. I guarantee the performance by the Applicant of the terms and conditions of these Terms and Conditions as well as any court decree which grants approval of same, and represent and warrant that the Applicant will not disaffirm or disavow the same at any time during or after minority. I further agree to indemnify and hold the Releasees harmless from any and all damages, liabilities, costs or expenses of any kind or nature including reasonable attorney’s fees, which may arise from the breach by the Applicant, me and/or any other of the Applicant’s parents and/or legal guardians of any of the provisions of these Terms and Conditions, including without limitation the Applicant’s attempt to disaffirm or disavow the provisions hereof. I agree to cooperate fully with Producer and Network by providing information, executing such documents as Producer and/or Network may require, and giving testimony, if necessary, in securing the approval of any Program-related agreements entered by or on behalf of the Applicant by any court(s) of competent jurisdiction. By submitting this Application, I represent and warrant that I have the exclusive authority to act on behalf of the Applicant and on behalf of the non-submitting parent(s) and/or legal guardian(s) of Applicant insofar as all matters related to the Program are concerned and will indemnify and hold the Releasees harmless from any and all damages, liabilities, costs or expenses of any kind or nature including reasonable attorney’s fees, that may be claimed by the non-submitting parent(s) and/or legal guardian(s). Governing Law; Arbitration: This Application shall be governed by the laws of the state of California applicable to contracts entered into and fully performed therein. In the event of any controversy or claim arising out of or relating to this Application (including the scope or applicability of this agreement to arbitrate) or the breach of any term hereof, the parties agree it will be resolved by confidential arbitration conducted in the County of Los Angeles, and administered by JAMS in accordance with its Comprehensive Rules and Procedures, including the Optional Appeal Procedure. The arbitration will be held before a single neutral arbitrator; any appellate panel will consist of three neutral members. For any claim submitted to arbitration, the burden of proof will be as it would be if the claim were litigated in a judicial proceeding and the decision will be based on the application of California law. Upon conclusion of any arbitration proceedings hereunder, the arbitrator will render findings of fact and conclusions of law and a written opinion setting forth the basis and reasons for any decision he or she has reached. Any judgment upon the award rendered by the arbitrator may be entered in any state or federal court in the County of Los Angeles having jurisdiction of the matter thereof. The arbitrator will have the authority to grant any other equitable and legal remedies that would be available in any judicial proceeding instituted to resolve a disputed matter, but will not have the authority to grant any remedies the parties have waived (including, without limitation, any waiver of punitive or exemplary damages contained in this Application). The parties agree to submit to the in personam jurisdiction of the Superior Court of the State of California for the County of Los Angeles and the United States District Court for the Central District of California for purposes of confirming any such award and entering judgment thereon. Each party will be responsible for their own attorney’s fees and costs. To the extent permitted by law, the prevailing party will not be entitled to any award of attorney’s fees or costs from the other party. This paragraph will survive any expiration or termination of this Application. Severability: If any clause, sentence, section, or part hereof or the application thereof to any party shall for any reason be declared by a court of competent jurisdiction to be invalid, the remainder hereof shall continue in full force and effect; and the parties shall negotiate in good faith an enforceable replacement for such invalid section which carries out the intention of the parties. Relationship of the Parties: (a) On behalf of Applicant, I acknowledge and agree that Applicant is an independent contractor and that Applicant is not an employee or agent of Producer or Network for any purpose and Producer and Network are not responsible to Applicant for any federal, state or local withholding or employer taxation obligations, social security benefits or unemployment compensation related to the services performed under this Application. On behalf of Application, I further represent and warrant that Applicant qualifies as an independent contractor under the provisions of the Internal Revenue Code and its common law rules and will file all required forms and make all necessary payments appropriate to Applicant’s independent-contractor tax status. This Application shall not be interpreted or construed to create an employment relationship, an association, agency, joint venture or partnership between the parties or to impose any liability attributable to such a relationship upon either party. (b) Producer agrees that in performing services hereunder, Producer shall comply with all laws, ordinances, rules and regulations of all governmental agencies, insofar as they are applicable and in accordance with all terms of all agreements entered into between Producer and any third party. Applicant acknowledges and agrees that Producer is entering into agreements and obligations with third parties consistent with the terms of this Application in reliance on my representation that Applicant will participate in the Program in accordance with the terms and conditions provided herein. Assignment: This Application shall inure to the benefit of the parties hereto and their respective heirs, successors, representatives, assigns and licensees. Producer may freely assign this Application (including these Terms and Conditions) to any third party
